JTEC, INC. CLARIFICATION ANNOUNCEMENT

Jtec, Inc. and all the members of the Board of Directors confirmed that the information contained in this announcement is true, accurate and complete, and that there are no false and misleading statements or material omissions in this announcement.

Jtec, Inc. (“Jtec”) announced the termination of formal negotiations of the Cross License Agreement & Memorandum Understanding between Jtec and Bytewatch Global Group (“Bytewatch”) effective ever since November 30, 2004.  As from the date of that announcement, Jtec is not and will not be legally responsible for any actions conducted by Bytewatch and Bytewatch is legally responsible and liable for the consequences of its own actions.

The Jtec name and logotype, together with its emblem, are registered trademarks of Jtec.  Enterprise Management Platform (EMP) and all other materials are copyrighted properties of Jtec under contemporary Intellectual Property legislation.  Materials include, but not limited, to the Jtec’s product lines, presentation, sales & marketing strategies, content framework and information contained therein.  All rights are reserved.  As a result of the termination, Bytewatch is not permitted to reproduce, republish, post, transmit, modify, and distribute Jtec’s materials without first obtaining the express consent from Jtec.  Bytewatch must stop all activities on research & development of Jtec’s Intellectual Property.  Jtec will take any necessary legal actions if Bytewatch fails to do so. 

Jtec draws the attention of customers, partners, and investors to the following: all formal announcements, sales, marketing, and research & development regarding Jtec’s product lines, such as Enterprise Management Platform (EMP), Project Based Organization (PBO), etc, will only be represented and executed by Jtec.  Customers, partners, and investors should be aware of the potential risks of engaging in any related activities described above with Bytewatch.
